Alfonso Zambrano joined Brown & Fortunato to practice in general business matters with an emphasis on mergers and acquisitions, corporate finance, business start-ups, real estate transactions and corporate governance. Alfonso has served as the principal legal advisor on numerous mergers, acquisitions and divestitures in various industries to help clients achieve growth, streamlining or implement exit strategies.  Alfonso has negotiated and drafted purchase and sale agreements, merger agreements, financing arrangements, conversion documents and other ancillary documents such as employment and consulting agreements, confidentiality and non-compete agreements, redemptions and escrow agreements.

Alfonso has represented lenders and borrowers in complex financial transactions in negotiating and closing credit agreements.  Specifically, Alfonso successfully represented a borrower in $100,000,000 senior first lien secured credit facility in the oil and gas sector.  He also has experience in structuring, drafting, and negotiating real estate transactions and commercial investments, representing purchasers, sellers, developers, landlords and tenants of industrial, residential, and commercial real estate properties and handling the financing of the transactions.

Alfonso has served as the lead advisor to buyers and sellers in numerous health law transactions involving the sales and acquisitions of durable medical equipment companies and pharmacies.  In that capacity, he has assisted clients in all aspects of such transactions including: (i) helping clients secure financing, (ii) conducting legal, operational and financial due diligence, (iii) negotiating and drafting asset, stock or redemption agreements, (iv) drafting applicable ancillary agreements (bills of sale, stock assignments, promissory notes, security agreements, and related instruments), and (v) assisting with in-person or electronic closings and post-closing obligations.  Alfonso’s broad range of experiences and participation on the business side of transactions result in a practical, problem-solving approach to legal issues designed to achieve business objectives.

Alfonso is a member of the State Bar of Texas, the Amarillo Area Bar Association and the Amarillo Young Lawyers Association. He is also an active board member of Junior Achievement of the High Plains, the Amarillo Hispanic Chamber of Commerce and a volunteer mentor for Big Brothers Big Sisters.

Alfonso was born and raised in Hereford, TX. He earned his Bachelor of Business Administration degree from Angelo State University in 2005 and graduated cum laude. Thereafter, Alfonso attended Texas Tech University and earned his Master of Business Administration degree from the Rawls College of Business. In 2007, Alfonso enrolled at the Texas Tech University School of Law where he participated in the Civil Practice Clinic, was an active member of the Board of Barristers, a contributing writer to the Texas Bank Lawyer, and a regular volunteer for Legal Aid of Northwest Texas. Alfonso received his J.D. and Business Law Certification in 2010.

Alfonso and his wife Britny have a dog, Chloe. He is an avid Texas Tech fan and enjoys playing sports, traveling, and spending time with friends and family.
