Hi. My name is Alfonso Zambrano, and I’m an attorney with Brown & Fortunato. I work with our transactions team to assist clients across the country with respect to mergers and acquisitions.

Due diligence is the process of investigating a target business to determine whether the value of that business is adequate or otherwise identify unknown risks associated with that target. If you’re a buyer, diligence is important because it allows you the opportunity to kick the tires and look under the hood of that target business to make sure you’re not assuming any unnecessary liabilities, to help verify the value of that business, and to otherwise understand the components of that company.
Likewise, the diligence process is equally important for the seller because it provides the seller the opportunity to disclose potential issues and substantiate the value to the buyer, related to its employees, its contracts, and its underlying assets.
Ultimately, the due diligence process will affect various components of the transaction, deal structuring, the financing, and even the terms of the purchase agreement.
